TERMS AND CONDITIONS – SLIMMING K AND MAMORU SKINCARE – MKS’METICS BY MADAM KILAY.


1. Distributor Hierarchy and Communication

• If there is no City Distributor in your area or upper position, you must contact your Provincial Distributor, whoever is in the ranking, or the main office. Unauthorized purchases outside your designated area may lead to termination.

• All communication with distributors and the main office must be professional and timely. It is essential to maintain open lines of communication to ensure smooth operations and address any concerns promptly.

2. Authorized ID Requirement

• All distributors and resellers must present their valid Authorized Virtual ID when picking up orders. This ID serves as proof of authorization and ensures that only legitimate distributors and resellers can access products.

• The Authorized Virtual ID must be kept up-to-date and visible to customers to maintain transparency and trust in the distribution network.

3. Order and Repurchase Policy

• Distributors must maintain regular order and repurchase activities. A record of initial orders and subsequent repurchases is required to sustain your status as a distributor.

• Failure to record any initial orders and repurchases for two consecutive months will result in replacement and termination of your distributor status. This policy ensures active participation and commitment within the distribution network.

Non-Repurchase Policy

A. If there are no repurchases within 30 days, this will serve as a notice of discontinuation of your position.

B. If there is no repurchase within 60 days, your position will be reopened to other potential distributors.
C. If there is no sign of interest in reordering within 90 days, your distributor status will be terminated accordingly.

4. Pricing Policy

• Selling products below the Suggested Retail Price (SRP) is strictly prohibited. Maintaining the SRP ensures fair competition and protects the integrity of the brand.

• While you are allowed to increase prices, excessive markups that exploit customers are not permitted. All pricing decisions should reflect fairness and transparency to maintain customer trust and satisfaction.

4. Online Sales

• Authorized sellers are permitted to sell products online, but only at the SRP. This includes all online platforms, such as personal websites, eBay, Amazon, Shopee, Lazada, and others.

• Unauthorized online sales or selling below the SRP will result in immediate termination of your distributor or reseller status.

6. Marketing and Promotion

• Distributors and resellers are encouraged to be active in marketing and promoting Slimming K and Mamoru Skincare - Mk'smetics by Madam Kilay products. This includes sharing posts from the Slimming K Facebook page, creating engaging content, and participating in promotional events.

• Creative marketing strategies are encouraged, but all promotional activities must align with the brand’s values and guidelines. Unauthorized or misleading marketing practices will not be tolerated.

7. Participation in Events

• All distributors and resellers are required to participate in company-organized events whenever possible. Active participation demonstrates commitment to the brand and fosters a sense of community within the distribution network.

• Events provide opportunities for networking, learning, and sharing best practices, which are beneficial for both individual distributors and the brand as a whole.

8. Compliance and Enforcement

• All distributors and resellers must comply with these Terms and Conditions. Any violation of these terms may result in disciplinary action, including termination of distributor or reseller status.

• The company reserves the right to modify these Terms and Conditions at any time. Distributors and resellers will be notified of any changes, and continued participation in the distribution network constitutes acceptance of the updated terms.



9. Dispute Resolution

• Any disputes arising from the interpretation or application of these Terms and Conditions should be addressed promptly and amicably through communication with the main office.

• In the event of unresolved disputes, the company reserves the right to take appropriate action in accordance with company policies and applicable laws.
